Overview
This License Agreement governs the use of website templates and other downloadable products provided by Héctor Ulloa, trading as Lambda Studio (“Lambda Studio,” “we,” “us,” or “our”).
By purchasing, downloading, or using a Product, you agree to this License.
Plain-English summary
You may:
- Use the Product for personal and commercial projects.
- Use it on multiple websites, including client websites.
- Modify the code, design, content, and structure.
- Give a client the customized source code required for their website.
- Allow your employees and contractors to work with the Product on your behalf.
You may not:
- Resell or redistribute the Product as a template, theme, starter, boilerplate, UI kit, or similar product.
- Share the original source files with another person or business.
- Publish the Product’s source code in a public repository.
- Use the Product in a website builder, template generator, or service that allows others to access or export its source code.
This summary is provided for convenience. The terms below control if there is any conflict.
1. Definitions
Product means a website template or other downloadable digital product created and distributed by Lambda Studio, including its source code, documentation, components, and first-party assets.
Licensee means the individual or legal entity identified in the applicable order.
If you purchase a Product on behalf of a company or employer, that company or employer is the Licensee.
End Product means a website or digital experience created using the Product.
Authorized Users means your employees or contractors who require access to the Product to perform work on your behalf.
2. License grant
After full payment, Lambda Studio grants the Licensee a worldwide, non-exclusive, perpetual license to:
- Use, copy, and modify the Product.
- Create an unlimited number of personal or commercial End Products.
- Use the Product for an unlimited number of clients.
- Publish, host, and commercially operate those End Products.
- Allow Authorized Users to access the Product as required to complete the work.
This license does not transfer ownership of the Product or its underlying intellectual property.
3. Client work
You may use the Product to create websites for clients.
You may deliver a configured or customized End Product to a client, including the source files reasonably required to operate, maintain, or modify that specific website.
The client may use and maintain those files only as part of the End Product delivered to them. The client may not:
- Reuse the Product to create another website.
- Redistribute or resell the Product.
- Use the Product as a reusable template for other projects.
- Share the Product’s source files with unrelated third parties.
A client who wants to reuse the Product independently must purchase a separate license.
4. Team and contractor access
Authorized Users may access the Product only while working for the Licensee and only for projects covered by this License.
You remain responsible for their compliance with these terms. Authorized Users may not retain, reuse, sell, or distribute the Product for their own purposes.
Private repositories are permitted when access is limited to the Licensee, Authorized Users, and an authorized client.
5. Restrictions
You may not:
- Sell, sublicense, share, distribute, or make the Product available as a standalone product.
- Resell or distribute a modified version of the Product as a template, theme, starter, boilerplate, component library, UI kit, or similar product.
- Publish the Product or its source files in a public repository.
- Make the Product available for download outside an authorized client delivery.
- Share one purchase between unrelated individuals, companies, agencies, or clients.
- Use the Product in a website builder, template library, generator, SaaS product, or other service that allows third parties to select, generate, download, or extract websites or source files based on the Product.
- Extract and redistribute individual components or first-party assets as separate products.
- Claim ownership of the original Product or represent yourself as its original creator.
You may remove visible Lambda Studio branding from an End Product. License and copyright notices included in distributed source files must remain intact.
6. Third-party materials
The Product may include third-party software, fonts, icons, images, or other materials. Those items remain subject to their respective licenses and terms.
This License does not grant additional rights to third-party materials.
Any content identified as demo-only or preview-only is not included in the license unless the Product documentation expressly states otherwise. You are responsible for reviewing the documentation and replacing any assets that are not licensed for your intended use.
7. Ownership
Lambda Studio retains all rights, title, and interest in the original Product.
You retain ownership of the original content and custom code you add to an End Product. Modifying the Product does not give you ownership of the underlying Product or the right to redistribute it.
8. Updates and support
Updates may be provided while a Product remains actively maintained, but no release schedule or minimum maintenance period is guaranteed.
If a Product is discontinued, your license to use the version you already obtained will continue. Future updates and support may no longer be available.
Support is provided according to our current Support Policy. This License does not guarantee customization work, compatibility with every third-party integration, or assistance with code modified beyond the original Product.
9. Termination
Lambda Studio may terminate this License if you materially breach its terms and fail to correct the breach within 14 days after receiving notice.
Unauthorized resale, public distribution, or deliberate sharing of the Product may result in immediate termination.
After termination, you must stop using the Product for new work and delete source copies under your control. End Products properly delivered to clients before termination may remain in operation, provided they do not distribute or expose the Product’s source code.
10. Other terms
This License forms part of our Terms of Service. If there is a conflict, this License controls the permitted use of the Product, while the Terms of Service control all other matters.
Purchases and refunds are also subject to our Refund Policy.
The version of this License in effect when you purchase a Product will apply to that purchase. We may update this License for future purchases, but we will not materially reduce rights already granted without your agreement.
